TERMS & CONDITIONS 
  1. Introduction

    1.1. These terms and conditions govern the contractual relationship between Smooth Solutions (referred to as "the Company," "we," "us," or "our") and the client (referred to as "you" or "your") for the provision of digital property, including but not limited to website design, development, maintenance, and related services.

    1.2. By engaging our services, you agree to be bound by these terms and conditions in full. If you do not agree with any part of these terms, you must not proceed with our services.

  2. Services Provided

    2.1. Smooth Solutions offers a range of digital property services, including website design, development, hosting, maintenance, and related services as agreed upon between the Company and the client.

    2.2. The specific services provided, along with associated fees, timelines, and deliverables, will be outlined in the project proposal or agreement provided to the client.

  3. Client Responsibilities

    3.1. You agree to provide all necessary materials, information, and approvals required for the timely and successful completion of the project.

    3.2. You are responsible for ensuring that all content provided to us, including text, images, and multimedia files, is either owned by you or used with appropriate permissions.

    3.3. You agree to cooperate with us in a timely manner, responding promptly to requests for feedback, approvals, or additional information necessary for project completion.

  4. Fees and Payment

    4.1. The fees for our services will be as outlined in the project proposal or agreement provided to the client.

    4.2. Payment terms will also be specified in the project proposal or agreement. Typically, a deposit may be required before work commences, with the balance due upon completion of the project or according to mutually agreed milestones.

    4.3. Late payments may incur additional charges or interest as outlined in the project proposal or agreement.

  5. Intellectual Property

    5.1. Upon receipt of full payment, all rights to the digital property, including but not limited to website design, code, graphics, and content, will transfer to the client, unless otherwise specified in writing.

    5.2. Any third-party materials used in the project will remain the property of their respective owners, and appropriate licenses or permissions will be obtained as necessary.

  6. Confidentiality

    6.1. Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project.

    6.2. This includes but is not limited to business strategies, trade secrets, and any information marked as confidential by either party.

  7. Limitation of Liability

    7.1. The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with our services, including but not limited to loss of profits, loss of data, or business interruption.

    7.2. The total liability of the Company, whether in contract, warranty, tort (including negligence), or otherwise, shall be limited to the amount paid by the client for the specific services giving rise to the claim.

  8. Termination

    8.1. Either party may terminate the agreement by providing written notice to the other party if there is a material breach of the terms and conditions that is not remedied within a reasonable period.

    8.2. Upon termination, the client shall pay for all services rendered up to the date of termination, and any outstanding fees or expenses incurred.

  9. Governing Law and Dispute Resolution

    9.1. These terms and conditions shall be governed by and construed in accordance with the laws of [Jurisdiction], without regard to its conflict of law principles.

    9.2. Any dispute arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].

  10. Amendments

    10.1. We reserve the right to amend these terms and conditions at any time. Any changes will be communicated to the client in writing, and continued use of our services will constitute acceptance of the amended terms.

  11. Severability

  12. Entire Agreement

    12.1. These terms and conditions constitute the entire agreement between the Company and the client, superseding all prior agreements, proposals, or representations, whether oral or written.
